TAU Auction Exhibition Rules

Chapter 1  General Rules
 
The auction (hereinafter called the “Service”) managed by TAU Corporation (hereinafter called “TAU”) will provide service pursuant to these rules (hereinafter called the “Rules”).  The Rules shall apply to all transactions between the members/consignors and TAU, and those who use the Service of TAU shall be deemed to have agreed to the Rules (including the contents of the rules that are changed after the use of the Service).
 
Article 1 Service Fee
1. When a member consigns or get successful BID on consigned vehicle at the Service, the member shall pay the
applicable service fee to TAU that hosts the auction.
2. Service Fee is: 10,000 yen (excluding Tax) for consignment, 10,000 yen (excluding Tax) for concluding a deal. 
Article 2 Prohibitions
1. A member must not disclose to or allow a third party to use his/her ID or other data.
2. A member must not negotiate the consigned vehicle directly with the successful bidder outside of the Service regardless of the auction.
3. A member must not conspire with the successful bidder in order to unfairly inflate prices in the auction.
4. A member must not act in any manner that violates the ules.
5. A member must not engage in any act similar to those escribed in the preceding Paragraphs or any act that interferes
with the provision of the Service.
6. The copyrights and other rights to the content of this website belong to TAU or to the rights holders who have licensed the content to TAU.  A member must not do anything that infringes or may infringe upon any of the rights referred to in the foregoing Paragraph.
 
Article 3 Exemption from Responsibility
TAU shall not be liable or responsible for compensation for any of the following events:
1. Hardware failure, data loss, database failure, or other accidents or malfunctions caused by the Internet connection (e.g.,virus infection, carrier equipment failure, etc.) or troubles with third parties.
2. Occurrence of any other event similar to any of those set forth in the preceding Paragraph.
 
Chapter 2  Transactions
Article 1 Transaction Method
1. A member shall consign their items in accordance with the Rules and the procedures set forth by TAU in the consignment guide.
2. As a general rule, the days of the week when transactions are possible exclude Saturdays, Sundays, holidays, and other
days off as determined by TAU.
3. TAU will provide its customers with TAU-specified information relating to the vehicle consigned by a member such as the VIN number, damage information, and repair records (hereinafter called "Vehicle Information").
4. TAU does not guarantee payment by the successful bidder of the winning bid price relating to the consigned vehicle.

Article 2 Criteria for Consignment
The vehicle to be consigned must meet all of the following criteria:
1. It must be a vehicle that the consignor has the right to sell.
2. It must be a vehicle which is stored in Japan and which the custodian and the owner have agreed to deliver.
3. It must be a vehicle free from any legal problems.
4. It must be a vehicle that is free from danger when stored or transported.
5. It must not be a vehicle that has had an accident or malfunction in the past but has been falsely repaired to disguise
such accident or malfunction. 
6. The radiation level of the vehicle must be not more than 0.2 micro Sieverts according to TAU's prescribed radiation measurement.
7. It must be a vehicle having no additions or repairs, and conform to other criteria separately set forth by TAU.
 
Article 3 Assessment
1. The member who wants to consign his/her vehicle shall assess and photograph the vehicle.
2. The member shall provide all information regarding the specifications, condition, price and other matters relating to
the vehicle.
3. The member shall email the vehicle’s valuation list-cum-consignment request, its image, and the image of its inspection certificate to TAU.
4. The member shall warrant that the information disclosed is true and accurate, and in the event of a breach of this warranty, he/she shall pay for the damages listed in the "List of Claims" at the end of this document as well as the penalties described therein.
5. The consignor shall be responsible for any claims due to his/her defective/forged/neglected declaration.
6. Used vehicles that are consigned shall be evaluated according to the standards set by TAU.
7. TAU will charge 5000 yen (excluding Tax) for assessment at TAU service center upon request by member.
8. Members must be liable for all issues related to the exhibited vehicle, such as false declarations, omissions, and misstatements, even if the Company makes an assessment.
 
Article 4 Delivery of Consigned Vehicle
1. When bringing in or carrying out the consigned vehicle, the member must contact TAU before the preceding day and follow TAU's instructions.
2. The member shall deliver the sold vehicle to TAU by the established deadline. If the member fails to do so, he/she must pay a delay penalty of 10,000 yen to TAU.
 
Article 5 Consignment, Suspension, Cancellation, or Changes 1. The consignor shall accurately and faithfully consign the subject vehicle, or suspend, cancel, or change its consignment in accordance with this contract.
2. Cancellation of or change to the consignment shall be promptly communicated to TAU. However, such communication to TAU does not necessarily mean that TAU will accept the communicated cancellation or change.
 
Article 6 Cancellation
1. TAU shall accept a cancellation at the consignor's convenience only under the following conditions:
(1)  Before successful bid
 * None of the submitted bids reaches the desired bid price;
 * The consignor pays the cancellation penalty of 30,000 yen to TAU in accordance with Item 1 of the "List of Claims" attached at the end hereof even if one of the submitted bids reaches the desired bid price.
(2) After Successful Bid
The consignor notifies TAU of its intent to cancel the consignment by 12:00 noon of the day following the date when
one of the submitted bids was confirmed to be the winning bid and pays the applicable cancellation penalty of 100,000 yen in accordance with Item 2 of "List of Claims" attached at the end of this document.
* If the vehicle price is less than 100,000 yen, it is the "vehicle price ", and if it is 100,000 yen or more, it is "100,000 yen"
2. If the exhibited vehicle is canceled after the successful bid is confirmed, the prescribed cancellation penalty (*) shall be paid to the seller through the Company only if the cancellation penalty is paid within 5 business days from the successful bid.
* If the vehicle price is less than 100,000 yen, it is the "vehicle price ", and if it is 100,000 yen or more, it is "100,000 yen"
 
Article 7 Responsibility of the Consignor
1. When consigning a vehicle, the relevant member shall fully check and inspect the vehicle and then provide TAU with ehicle Information.
2. The consignor shall represent and warrant that Vehicle Information on the consigned vehicle is true and orrect.
3. The consignor shall immediately notify TAU if Vehicle Information on the consigned vehicle is found to be erroneous or incorrect.
4. If asked for information about the consigned vehicle, the consignor shall promptly provide an accurate and sincere reply to TAU via the indicated method regarding the condition, quality, defects, specifications, equipment, history and other matters relating to the vehicle.  If the consignor fails to answer the relevant inquiry, TAU may delete Vehicle Information about the consigned vehicle.
5. TAU may delete Vehicle Information about the consigned vehicle if the consignor consigns the vehicle in violation of
the Rules or if TAU deems such information to be inappropriate.  The consignor who provides false information,
whether intentionally or negligently, shall compensate TAU and its customers for all damages suffered by them (except for post-resale profit and the cost of repair and parts).
6. No consignor may bid on his/her own vehicle as a bidder or through another member.
 
Article 8 Procedures after a Successful Bid is Determined
1. The consignor shall have seven (7) days from the date on which the winning bid is determined for submitting the transfer documents for the contracted vehicle (including the automobile liability insurance certificate if the consigned vehicle still has a remaining vehicle inspection period) to TAU.  If the deadline is exceeded, the consignor shall pay a penalty of 10,000 yen to TAU for late delivery of the documents, and if the deadline is further exceeded, a penalty of 10,000 yen shall be paid for every seven (7) days of delay thereafter. In addition, the consignor shall be responsible for the cost of delivery of the transfer documents. 
2. No later than seven (7) days after the date of receipt of the transfer documents as described in the preceding Paragraph,
TAU shall pay the remainder of the amount of the contract price and the amount equivalent to the automobile tax as received from the successful bidder, after offsetting the amount owed to TAU by the consignor (including, but not limited to admission fee, appraisal fee, consignment fee, penalty).
3. The ownership of the consigned vehicle shall be transferred to the successful bidder at the time of payment of the contract price set forth in the preceding Paragraph.
4. The consignor shall be obligated to act as a good manager of the auctioned vehicle on consignment until the successful bidder takes its possession, whereupon the risk of such sold vehicle shall pass to the successful bidder.
 
Article 9  Effective Period of Documents
1. For the documents intended to apply for an automobile tax return, the certificate of the registered seal impression must
be submitted which, as of the last day of the month following the month when the consigned vehicle was posted, is less than three (3) months old.
2. A power of attorney with an expiry date on it must be valid until the last day of the month following the month in which it is posted.
 
Article 10  Submission of Documents for Transferring the Right to Claim a Refund of Automobile Tax
1. The consignor must submit the refund documents to TAU together with the transfer documents.
2. In the event that the consignor receives a refund of the automobile tax on the contracted vehicle, the consignor must
immediately pay such refund to TAU.
 
Article 11  Unpaid Automobile Tax
1. If the consignor is found to have failed to pay the automobile tax, he/she must submit the proof of payment of the automobile tax (for vehicle inspection) to TAU or deposit the amount equivalent to one year's automobile tax with TAU within seven (7) days of receipt of the notice from TAU.
2. If the consignor fails to meet the deadline set forth in the preceding Paragraph, he/she shall pay to TAU a late penalty
of 10,000 yen, with an additional 10,000 yen for every seven (7) days thereafter that the consignor is late.
 
Article 12  Automobile Tax
1. The consignor shall be responsible for the amount equivalent to the automobile tax payable for the contracted vehicle up to the month in which the vehicle is posted for sale (except in case of a light-duty vehicle).
2. In case of a light vehicle the consignor shall be responsible for the amount equivalent to the light automobile tax payable for the year that includes the day when the relevant light vehicle is sold at the auction.

3. An amount equivalent to the automobile tax shall be settled together with the contract price at an amount to be determined by TAU in advance.
 
Article 13  Handling of Leftovers inside Vehicles
The consignor shall waive all rights to any of the objects left inside the contracted vehicle after it is taken over by the bidder and shall not object to the manner in which they are disposed of by the successful bidder. If the successful bidder suffers any damage or loss as a result of the consignor's having loaded any item(s) into the relevant vehicle which is not related to the relevant vehicle transactions, the consignor shall pay such damages and the disposal charges through TAU to the successful bidder as deemed appropriate by TAU.
 
Article 14  Obligation to Prevent Claims and Problems
TAU will respond to claims and problems that may arise in the Service with understanding and cooperation, and shall endeavor to resolve such matters amicably.
 
Article 15  Deprivation of membership
If the Company determines that a member violates the rules seriously or is inappropriate as a member, the Company may deprive the member's membership in the following order based on the severity of the violation.
①  Tau auction exhibition / auction participation qualification
②  Premium membership
③  Permanent membership suspension
 
Article 16 Contract Terms
Contracts in other languages except Japanese Language are for reference purpose only. Only Original Japanese version of this contract shall be considered legal and authentic whatsoever.
